{"id":1547,"date":"2017-01-30T18:08:41","date_gmt":"2017-01-30T22:08:41","guid":{"rendered":"http:\/\/lawflog.com\/?p=1547"},"modified":"2017-01-30T18:08:41","modified_gmt":"2017-01-30T22:08:41","slug":"special-counsel-investigating-alleged-stock-deal-with-robertson-county-officials","status":"publish","type":"post","link":"https:\/\/lawflog.com\/?p=1547","title":{"rendered":"Special counsel investigating alleged stock deal with Robertson County officials"},"content":{"rendered":"<p>Earlier this month, I reported allegations that CopSync, Inc.\u00a0<a href=\"http:\/\/lawflog.com\/?p=1538\">offered an insider stock deal<\/a> to Robertson County officials shortly before commissioners voted on doing business with the company, and this afternoon I learned that the Dallas-based company\u00a0hired a <a href=\"http:\/\/nasonyeager.com\/\">Florida law firm<\/a> to investigate those allegations.<\/p>\n<p><a href=\"http:\/\/lawflog.com\/wp-content\/uploads\/2017\/01\/MIchael-Harris.jpg\"><img loading=\"lazy\" decoding=\"async\" class=\"alignleft size-full wp-image-1550\" src=\"http:\/\/lawflog.com\/wp-content\/uploads\/2017\/01\/MIchael-Harris.jpg\" alt=\"\" width=\"202\" height=\"275\" \/><\/a><a href=\"http:\/\/nasonyeager.com\/attorneys\/harris\/\">Michael D. Harris<\/a>, a former lawyer for the U.S. Securities Exchange Commission, wrote in an email this afternoon that his firm would be investigating on behalf of the non-employee directors of the company.\u00a0Mr. Harris wrote that his investigation likely would be completed late next week &#8220;unless we find other areas of inquiry.&#8221; CopSync has contracts with hundreds of local law enforcement agencies around the U.S., and as I noted in my earlier post, a <a href=\"http:\/\/lawflog.com\/wp-content\/uploads\/2017\/01\/2016.12.23-Letter-from-CopSync.pdf\">December 23, 2016 letter from the CopSync CEO<\/a>\u00a0infers that the private offerings may have been common practice.<\/p>\n<p>After my <a href=\"http:\/\/lawflog.com\/?p=1538\">last post<\/a>, Robertson County Judge Charles Ellis indicated that he was unaware of a private stock offering, but other county officials have remained silent (DA Coty Siegert previously indicated that he was unaware of the private stock sale). Meanwhile, one of the non-employee directors of CopSync, Joel Hochberg, resigned from the board on January 16, 2016, <em>i.e.<\/em>, ten days after my blog post about the suspicious stock offerings to government officials.<\/p>\n<p>Mr. Hochberg was a business partner with Texas Attorney General Ken Paxton, and both men are major investors in CopSync. Their relationship appears to have soured, however, because Mr. Hochberg is one of the two victims in the <a href=\"http:\/\/www.mystatesman.com\/news\/ken-paxton-fraud-trial-set-for-may\/xmzYNZcD06o6JtPMWJCm9N\/\">criminal fraud case<\/a> pending against Mr. Paxton in Collin County.<\/p>\n<p>The CopSync board appointed Larry Schafran to fill the vacancy created by Mr. Hochberg&#8217;s resignation, according to a January 20, 2017 <a href=\"https:\/\/www.google.com\/url?sa=t&amp;rct=j&amp;q=&amp;esrc=s&amp;source=web&amp;cd=3&amp;cad=rja&amp;uact=8&amp;ved=0ahUKEwiv2cqI7-rRAhUEWCYKHUrjD8sQFggmMAI&amp;url=http%3A%2F%2Fir.copsync.com%2Fall-sec-filings%2Fcontent%2F0001185185-17-000100%2F0001185185-17-000100.pdf&amp;usg=AFQjCNHUxAKYfyhqGH6vS-DnS-ByacwRsg&amp;sig2=2nYiRifY1QdPyCrlQsoTjg&amp;bvm=bv.145822982,d.eWE\">report that the company filed with the SEC<\/a>. The report noted that Mr. Schafran, <a href=\"https:\/\/www.crunchbase.com\/person\/larry-schafran#\/entity\">a New York investor<\/a>, was also being appointed to the company&#8217;s audit committee.
